Terms of Service

RapidLayer is a subscription analytics platform for portfolio performance measurement, benchmark comparison, FX-adjusted reporting and risk analytics, intended for use by investment professionals. The Service is provided on a multi-tenant basis: your organisation's data is logically isolated from every other organisation using the Service, and access within your organisation is governed by the roles and page-level permissions your administrators configure.

RapidLayer performs calculations on data you or your administrators upload or enter. We do not provide investment advice, and nothing in the Service constitutes a recommendation to buy, sell or hold any security. You remain responsible for verifying the accuracy of data you upload and for any decisions made using the Service's output.

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity under your account.

Demo accounts operate on pre-populated sample data for evaluation purposes only. Write actions (uploads, edits, user management) are disabled in demo mode, and demo access expires automatically after the trial period shown in the product.

Paid subscriptions are billed monthly in advance via our payment processor, Stripe, and are subject to the pricing tier you select at signup or are subsequently moved to.

• Subscriptions renew automatically each billing period until cancelled.
• You can manage your subscription, update your payment method and view invoices at any time from the billing portal linked in your account.
• Cancelling stops future renewals; it does not refund the current billing period unless required by law.
• We may suspend access for non-payment after reasonable notice, and may apply a grace period before suspension as described in the product.

You agree not to:

• Use the Service to store or process data you do not have the right to upload.
• Attempt to access another organisation's data, bypass tenant isolation, or probe, scan or test the Service's security.
• Use the Service to build a competing product, or resell access without our written agreement.
• Introduce malware, or interfere with the Service's availability to other users.

You retain ownership of all data you upload to the Service ("Customer Data"). You grant RapidLayer a licence to host, process and display Customer Data solely to provide the Service to you. See our Privacy Policy for how we handle personal data.

You are responsible for the accuracy and legality of data you upload, including ensuring you have any necessary rights or consents to do so.

We aim to keep the Service available at all times but do not guarantee uninterrupted access. Planned maintenance will be carried out with reasonable care to minimise disruption. Support requests can be raised via the in-product support form or by emailing support@rapidlayer.io.

Either party may terminate a subscription in accordance with the billing terms above. We may suspend or terminate access immediately if you materially breach these Terms, including a breach of the acceptable use provisions in section 4. On termination, we will retain your data for the period described in our Privacy Policy before deletion, unless you request earlier deletion or a longer period is required by law.

The Service is provided "as is". To the fullest extent permitted by law, RapidLayer excludes all warranties not expressly stated in these Terms, and our total liability arising out of or in connection with the Service is limited to the fees paid by your organisation in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death, personal injury caused by negligence, or fraud.

We may update these Terms from time to time. If we make material changes, we will notify account administrators by email or through the product before the changes take effect. Continued use of the Service after that point constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
